PART I: MASTER TERMS OF SERVICE

1. Introduction & Acceptance of Terms
This Service Agreement ("Agreement") is entered into by and between Serin, LLC ("Service Provider") and the client ("Client"). This Agreement governs all web development, hosting, maintenance, and digital services provided by the Service Provider to the Client.

Binding Agreement: By accepting a proposal, executing a statement of work (SOW), paying an invoice, or accessing the Platform, the Client agrees to be bound unconditionally by these Master Terms of Service, all applicable Platform Policies, and Tier Addendums.

Authority: If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

Modifications: The Service Provider reserves the right to update these terms at any time. Continued use of the Services following notice of such changes constitutes acceptance.

2. Definitions & Interpretation
Agreement: The Master Terms of Service, all Platform Policies, Tier Addendums, and all documents incorporated by reference.
Service Provider: Serin, LLC, including its owners, operators, affiliates, contractors, and authorized representatives.
Platform: All Serin-operated software, dashboards, tools, systems, infrastructure, development environments, production environments, and related services.
Client: Any individual or legal entity that accesses, purchases, or uses the Services.
Services: Website development, hosting, management, publishing tools, support services, and related offerings provided through the Platform.
Website: A Client-specific website created, hosted, or managed through the Platform.
Dev Site: A non-public development or preview environment used to test and review changes prior to publication.
Live Site: The publicly accessible production version of a Website.
Publish / Publishing: The act of deploying approved changes from a Dev Site to a Live Site.
Administrator / Agent: Authorized representatives or users of the Service Provider performing services on behalf of a Client.
Content: All text, images, media, data, and materials supplied, uploaded, or approved by the Client.
Domain: Any internet domain name registered, managed, or transferred in connection with the Services.
Interpretation: Hierarchy of documents is as follows: Tier Addendums prevail over Platform Policies, and Platform Policies prevail over the Master Terms of Service.

3. Scope of Services
Provision of Services: The Service Provider shall provide web development and related digital services as expressly described in the applicable proposal, invoice, or statement of work.

Exclusions: Any services, features, or integrations not expressly stated in writing are strictly excluded from the scope of work.

Revisions & Additional Work: Unless otherwise stated, standard projects include two (2) rounds of reasonable revisions. Revisions beyond this limit, out-of-scope technical support, or custom server configuration will be billed separately at our standard rate of $100.00/hr (Net 15 terms).

Client Obligations: The Client shall provide all required content, brand assets, approvals, and materials in a timely manner. The Service Provider shall not be held liable for project delays caused by the Client.

4. Account Creation & Responsibilities
Account Security: The Client is solely responsible for maintaining the confidentiality of all login credentials associated with the Platform and for all activities that occur under their account.

Notification of Breach: The Client must immediately notify the Service Provider of any unauthorized use of their account or any other breach of security.

5. Fees, Billing & Payments
Payment Processing: Clients may process credit card payments via our online portal at [billing.yourcompany.com]. For ACH or Wire Transfers (available for Enterprise and Net-30 invoices), banking details are provided on the official PDF invoice generated via our accounting software.

Payment Terms: Unless otherwise specified in writing, all invoices are due upon receipt.

Late Fees: Invoices not paid within the specified terms are subject to a 1.5% monthly late fee, plus all costs of collection, including reasonable attorneys' fees.

Ownership Contingency: The Service Provider retains full ownership of all deliverables, code, and design work until full and final payment has been received.

6. Term, Termination & Suspension
Term & Termination: This Agreement shall remain in effect until the completion of one-off services or, for recurring services, until terminated by either party with written notice.

Termination for Cause: The Service Provider may terminate this Agreement immediately upon written notice if the Client breaches any material provision, including non-payment or violation of the Acceptable Use Policy.

Post-Termination: The Client remains responsible for all fees incurred up to the date of termination.

7. Intellectual Property (High-Level)
Client Ownership: Upon full payment, the Client is granted ownership of the final front-end deliverables and retains all rights to the Content they supplied.

Provider Ownership: The Service Provider retains all right, title, and interest in and to any underlying frameworks, templates, source code, internal tooling, and pre-existing materials.

License to Provider: The Client grants the Service Provider a non-exclusive license to use the Client's Content solely to provide the Services and to display the final product in the Service Provider's portfolio.

8. Limitation of Liability
To the maximum extent permitted by law, the Service Provider shall not be liable for any indirect, incidental, punitive, special, or consequential damages, including lost profits, lost data, or business interruption. The Service Provider holds no liability for issues arising from Client-approved changes, Client-published code, third-party service failures, or actions taken in post-transfer environments.

9. Indemnification
The Client agrees to indemnify, defend, and hold harmless Serin, LLC from any claims, damages, liabilities, costs, and expenses arising out of any Content provided by the Client, the Client's violation of these Terms, or any misuse of the Platform.

10. Governing Law & Jurisdiction
This Agreement shall be governed by and construed strictly in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.

PART II: PLATFORM POLICIES

11. Ownership, Domain & Access Policy
Domain Registration Policy: For all new website builds, domain names priced under $25.00 are included in the initial build cost. Any domain acquisition cost exceeding $25.00 will be billed additionally to the Client.

Domain Holding & Transfer: Domains purchased via a service package are registered and held in the Service Provider's name for operational continuity. The Client retains the right to request a transfer at any time, provided the account is in good standing.

Website Portability & Code Release: The Client may request an export of their website. For Standard Builds on a self-hosted arrangement, code ownership release is subject to a $250.00 release fee (see Appendix A). Exports explicitly exclude administrative dashboards, proprietary backend services, and shared Service Provider components.

Access Controls: Direct access to hosting infrastructure, servers, databases, DNS settings, or registrar accounts is strictly prohibited by default.

12. Publishing & Deployment Policy
Deployment Environments: All updates, fixes, and features are first deployed to the Dev Site by authorized Service Provider agents for Client review.

Publishing Authority: The Client retains primary authority to publish changes from the Dev Site to the Live Site. Publishing constitutes complete acceptance and approval of the changes in their published form.

Administrator Publishing: Administrators may publish changes without Client approval only under exceptional circumstances, such as emergency bug fixes or critical security vulnerabilities.

Responsibility Shift: Prior to publication, the Service Provider is responsible for implementation. Following publication, responsibility for content accuracy and business logic transfers entirely to the Client.

13. ASAP Support Policy
ASAP Support guarantees best-effort technical support provided as soon as reasonably possible, but explicitly does not constitute 24/7 availability or on-call emergency services. Support requests are prioritized by severity, then by tier.

Support Tiers:
Standard: Target response within 1-2 business days.
Extended: Target response same business day.
Premium: Target response within hours.

Covered Categories: Platform access issues, server errors, Dev/Live sync errors, broken layouts, form submission failures, and payment webhook issues.

Exclusions: ASAP Support does not cover new feature builds, redesigns, content creation, SEO strategy, or breaches caused by Client credential sharing.

14. Content Responsibility & Legal Compliance Policy
The Client is solely responsible for ensuring that all Content on their Website complies with local, state, and international laws, including copyright, trademark, and data privacy regulations (e.g., GDPR). The Client is also solely responsible for ensuring their website meets ADA compliance standards.

15. Backup, Recovery & Maintenance Policy
Backups: The Service Provider performs routine backups (Weekly or Daily, depending on the Client's hosting tier). These are not guaranteed for individual data restoration; Clients should maintain independent copies of critical data.

Maintenance Windows: The Service Provider reserves the right to take the Platform offline for scheduled maintenance.

16. Acceptable Use Policy (AUP)
The Client agrees not to use the Services to host, display, or transmit any content that is illegal, fraudulent, contains malware, constitutes spam, infringes upon intellectual property, or involves the sale of illicit goods. Violation will result in immediate suspension.

PART III: SERVICE TIER ADDENDUMS

17. Starter Hosting Tier
Pricing: $25.00/month (Billed Monthly or Annually via CC or ACH)
Target Audience: Perfect for new businesses.
Included Features: 99.9% Uptime, Free SSL Certificates, Weekly Backups, embedded website changes, and Standard ASAP Support.

18. Professional Hosting Tier
Pricing: $69.00/month (Billed Monthly or Annually via CC or ACH)
Target Audience: Established businesses with growing traffic.
Included Features: Daily Backups, Web Application Firewall (WAF) Security, Priority (Extended) ASAP Support, plus a dedicated agent for website assistance.

19. Business Hosting Tier
Pricing: $400.00/month (Billed Monthly or Annually via CC or ACH)
Target Audience: E-commerce ready and high-demand applications.
Included Features: Dedicated server resources, active Staging Environment, limited website remodels, and Premium ASAP Support.

PART IV: EXHIBITS & APPENDICES

Appendix A: Website Build & Service Pricing Catalog
Unless a custom SOW is drafted, the following standard pricing applies to initial builds and one-off services:

Standard Build (w/ Hosting): $250.00 (One-Time). Base website creation. Must be paired with an active hosting subscription (Starter, Professional, or Business).

Standard Build (Self-Hosted): $500.00 (One-Time). Includes the $250 build fee plus a $250 code ownership release fee. Client hosts elsewhere.

Advanced Build: $550.00+ (One-Time). For larger/complex websites. The code ownership release fee applies if not hosted with Serin, LLC.

Premium Build: Custom Quote. Highly customized sites/web apps requiring a tailored quote after consultation.

Managed Migration: $250.00 (One-Time). Full white-glove migration of an existing site, including a zero-downtime DNS cutover.

Hourly Dev/Support: $100.00/hr (Net 15). Custom server configuration, minor site updates, and technical support outside of standard hosting inclusions.
